事情要追朔到2018年8月7日，馬斯克在自己的Twitter上Po文表示，「他正考慮將特斯拉私有化」同時表明「已經獲得了將特斯拉私有化的資金」此訊息一Po出，隨即攪動了特斯拉股價，隨後美國證券交易委員會（SEC）表示，馬斯克發佈了「錯誤和具有誤導性的」聲明，違反了證券法，並依詐欺罪起訴馬斯克。
後來，馬斯克與美國證券交易委員會達成和解，同意支付4000萬美元（約新台幣11.35億元）的罰款，馬斯克還辭去公司董事長職務3年。並且根據和解協議，特斯拉還承諾將來會對馬斯克的Twitter發文和其他有關公司的通訊裝置進行監督。

經過4年事情有了新的發展，根據外媒報導，馬斯克的律師在3月1日提交一份法庭文件堅稱，「沙烏地阿拉伯的主權財富基金確實同意，支持馬斯克將公司私有化的努力。」同時強調，馬斯克當時正考慮以每股420美元的價格將特斯拉私有化，有資金來源，也有投資者的支持，特斯拉私有化的推文「完全真實」，並沒有任何詐欺、炒股的嫌疑。

馬斯克律師也補充說明，關於馬斯克被限制發文需要被審查之事，「已經涉及侵害到美國憲法第一修正案中的『言論自由』」並請求法官一併撤銷欺詐罪名與解協議。
而馬斯克也透過律師聲明，他當時是被迫簽署和解協議！因為當時備感壓力，想要儘速解決美國證監會的民事訴訟，並補充：「我從未欺騙股東，也永遠不會欺騙股東。我是為了特斯拉的生存以及股東的利益，才簽署了同意令。」目前已知聽證將訂於3月舉行。
